1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Zyref ("Company," "we," "us," or "our") concerning your access to and use of our websites, products, and services, including GoalHappy, QRCodeAPI, and any related applications (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Services.

2. Description of Services

Zyref provides software-as-a-service (SaaS) products designed to help businesses and individuals improve productivity and operations. Our current product offerings include:

  • GoalHappy: A to-do management and goal-tracking service that helps users organize tasks, set objectives, and monitor progress.
  • QRCodeAPI: An API service for generating, customizing, and managing QR codes for business applications.

3. User Accounts

To access certain features of the Services, you may be required to create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your password and accept all risks of unauthorized access
  • Notify us immediately if you discover any unauthorized use of your account

The Services and their original content, features, and functionality are and will remain the exclusive property of Zyref and its licensors. The Services are protected by copyright, trademark, and other laws of both the United States and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Zyref.

6. User Content

You retain ownership of any content you submit, post, or display on or through the Services ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, modify, and display your User Content solely for the purpose of providing and improving the Services.

You represent and warrant that you own or have the necessary rights to submit your User Content and that your User Content does not violate any third-party rights.

7. Payment Terms

Certain Services may require payment. By subscribing to a paid Service, you agree to pay all applicable fees as described at the time of purchase. Fees are non-refundable except as required by law or as explicitly stated in these Terms.

We reserve the right to change our pricing at any time. If we change pricing for a Service to which you have subscribed, we will provide you with reasonable notice prior to the change taking effect.

8. Service Availability

We strive to provide reliable Services, but we do not guarantee that the Services will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Services, resulting in interruptions, delays, or errors.

We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Services at any time without notice to you.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. ZYREF EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will meet your requirements, that the Services will be uninterrupted, timely, secure, or error-free, or that any defects in the Services will be corrected.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ZYREF, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES.

11. Indemnification

You agree to defend, indemnify, and hold harmless Zyref and its licensors, licensees, employees, contractors, agents, officers, and directors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from your use of the Services or your violation of these Terms.

12. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services or contact us to request account deletion.

13. Governing Law

These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

14. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms.
